To ensure that board member interests do not have undue influence on the decisions made by the Board, Erimus board members must complete a register of interest form to declare any interest that could be seen to affect their role.
The declaration is made annually and a full register of interest declared is retained by the Company Secretary.
The annual declaration is reinforced by a standing item on Board and Committee agendas asking for board members to declare any specific interests which might be considered prejudicial in relation to items on the agenda of the meetings they attend.
Should a declaration of interest be made this is recorded in the minutes and a declaration sheet is signed by the relevant board member and retained by the Company Secretary. The board member will not be permitted to take part in discussions or vote upon that agenda item.
